Our Services are intended for business owners, coaches, and consultants. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. To access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

•Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm SmartSet or users of the Services or expose them to liability.
•Use the Services to transmit any unsolicited advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
•Impersonate or attempt to impersonate SmartSet, a SmartSet employee, another user, or any other person or entity.
•Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.

5. AI-Driven Appointment Setting and Lead Management
SmartSet utilizes artificial intelligence to provide appointment setting and lead management services. While we strive for accuracy and efficiency, you acknowledge that:
•The effectiveness of the AI may vary depending on the quality of the data provided by you and the specific context of your business.
•SmartSet is not responsible for any missed appointments, lost leads, or other business losses resulting from the use or inability to use our AI-driven services.
•You are solely responsible for complying with all applicable laws and regulations regarding data privacy, telemarketing, and unsolicited communications when using our Services.

6. Referral Program
SmartSet may offer a Referral Program to eligible users. The terms and conditions for participation in the Referral Program are as follows:

6.1. Eligibility
•The Referral Program is open to active SmartSet clients in good standing.
•You must have an active subscription to SmartSet Services to be eligible to participate and receive referral rewards.

6.2. How to Refer
•You will be provided with a unique referral link or code upon joining the program.
•Share your unique referral link or code with individuals or businesses who may benefit from SmartSet Services.
•A referral is considered successful when a new client signs up for a paid SmartSet subscription using your unique referral link or code and remains an active, paying client for a minimum period (e.g., 30 days).

6.3. Referral Rewards
•The specific reward for successful referrals (e.g., a percentage of the referred client's subscription fee, a fixed cash amount, or service credits) will be communicated to you upon enrollment in the Referral Program and may be updated from time to time.
•Rewards will be processed after the referred client meets the eligibility criteria (e.g., minimum active subscription period).
•Rewards are non-transferable and have no cash value outside of the program.

6.4. Restrictions and Limitations
•You may not refer yourself or any existing SmartSet client.
•Referrals must be genuine and made to individuals or businesses with a legitimate interest in SmartSet Services.
•Any attempt to manipulate or abuse the Referral Program, including but not limited to, creating fake accounts, using automated systems, or engaging in fraudulent activities, will result in immediate disqualification from the program and forfeiture of any earned rewards. SmartSet reserves the right to terminate your account and pursue legal action in such cases.
•SmartSet reserves the right to modify, suspend, or terminate the Referral Program or these terms at any time, for any reason, without prior notice.

7. Intellectual Property
All content, features, and functionality on the Website and Services, including but not limited to text, graphics, logos, images, and software, are the exclusive property of SmartSet and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally permitted by these Terms.

NEITHER SMARTSET NOR ANY PERSON ASSOCIATED WITH SMARTSET MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER SMARTSET NOR ANYONE ASSOCIATED WITH SMARTSET REPRESENTS OR WARRANTS THAT THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

IN NO EVENT WILL SMARTSET AI LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

11. Governing Law and Jurisdiction
All matters relating to the Services and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Florida, United States without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida in each case located in the City of Miramar and County of United States, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
